Terms of business

These are the terms on which we provide design and development services. They are written to be readable; if anything is unclear, ask us before you sign and we will explain it or change it.

Who these terms are between

These terms are between SiamRise Ltd, a company registered in England and Wales under number , , and the client named in the proposal.

Scope and changes

The proposal sets out what we will build and what it costs. If you want something outside that scope, we will tell you what it costs before we do it, in writing. We will not invoice you for anything you have not agreed to.

Payment

Unless the proposal says otherwise, we invoice a deposit before starting, a further amount at the agreed midpoint, and the balance on delivery. Invoices are due 14 days from issue. Prices are quoted in Thai baht.

VAT and withholding tax

Prices exclude Thai VAT. We are a UK company and are not registered for VAT in Thailand, so we do not charge or collect it and we cannot issue a Thai tax invoice (ใบกำกับภาษี). Where the service is used in Thailand, a Thai customer self-assesses 7% VAT under the reverse-charge mechanism on Form PP.36; a VAT-registered customer can then reclaim it as input tax. Thailand and the UK have a double taxation agreement, and we provide an HMRC Certificate of Residence with every contract so you can apply it. Services supplied to a Thai business are outside the scope of UK VAT.

Who owns the work

On final payment, all intellectual property in the deliverables transfers outright to you. This is a service contract with an assignment of rights, not a licence. We do not retain ownership of your site and we do not charge you to keep using it. We keep the right to describe the work publicly and show it in our portfolio unless you ask us not to.

Liability

Our total liability under any contract is limited to the fees you paid us under it. We are not liable for indirect or consequential loss. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Ending the work

Either of us can end the engagement in writing. If you end it, you pay for work completed up to that point and we hand over everything produced so far. If we end it, we hand over the work and refund anything you have paid for work not done.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
